Examples of Past Film and Video Productions
Every offering needs one or more videos to describe the investment opportunity. A video needs to describe the business, and even more importantly, show how an investor might potentially profit from their investment.
We have been producing TV commercials and films to market companies for many years before we began to market investment offerings, and we have a lot of experience in marketing all types of companies and their products. Gene Massey, MediaShares CEO, is a member of the Director’s Guild of America and has won multiple awards for his work from Telly, CLIO, The New York Festival, Worldfest, L.A. The cost for the type of video productions above is usually covered in our monthly retainer. We can produce several videos per month like these, all covered in our monthly retainer and if additional charges are anticipated, we can get them estimated and approved in advance.

Email Campaigns
MediaShares has an investor list of almost 70,000 emails, a mix of both accredited and non-accredited investors that have come from our past capital raises, investor lists, financial conferences, and targeted specialized lists, etc. We create emails for our clients, write the copy, and implement the campaign to promote the client’s investment opportunity and drive investors to their landing page.

Use of our 70,000-investor list and all the costs of sending the emails are included in our monthly retainer. Prior to sending emails out to investors, the investor lists must be cleaned to remove unsubscribes, old bad emails, and bounces, etc. We also recommend the use of the client’s email lists to add them to the campaign and we show a client how to do this.
At no additional charge beyond our monthly retainer, MediaShares creates the emails, sends the emails, and monitors the email analytics. These email campaigns can contain the client’s videos, press releases, graphics, company information, and anything that will drive traffic to the landing page. We also create the elements for a company that does not already have them.
Schedule: Emails can begin as soon as the creative content is available to use in the campaign.
Creating the Offering Landing Page, Graphics, and Onboarding
The client’s investment opportunity needs to be created and hosted on an offering page, either on a special crowdfunding platform like StartEngine, Netcapital, Republic, or WeFunder, or on the company’s own website landing page with Dealmaker, Dalmore, or Rialto. The offering needs to be set up either with a FINRA approved platform, or on the issuer’s own web page and it must have an SEC approved mechanism for verifying the investor (KYC/AML), delivering disclosure documents, and also accepting the invested funds.
If the offering is displayed on a landing page on their own website, a brokerage like Dealmaker, Rialto, or Dalmore will administer the stock purchase transactions. We assist in this process by onboarding the offering, either on a platform, or by building a special landing page, and testing the process to assure a fast, easy, and frictionless process for the investor. Investors sometimes drop off if the process is not easy, so optimizing this process is critical. Although this onboarding process can be very time consuming, it is nevertheless included in our retainer, but there is a charge from the web designer to create the landing page and a charge from the platform or broker to host the offering that is not included in our retainer. Most good landing pages contain a pitch deck, graphics, pictures and various elements that tell the issuer’s story in a compelling manner. We create all of these things for the issuer and these are included in our monthly retainer.

Schedule: On-boarding to a platform or the issuer’s own landing page is completed in the first month. This landing page must be completed first because the marketing drives investors here.
Webinars
The creation and production of webinars and the promotion of the webinars through email is included in our retainer. We have a lot of experience in this area and we often moderate and host the webinar.

Content Creation for Social Media Posts
MediaShares is known for the creation of content through which a company can market their opportunity to investors. Our motto is “Crafting Your Story For Investors”, since the most critical component of your marketing is telling your story in a captivating manner. Crafting your story includes the creation of all types of social media posts to use on sites such as LinkedIn, Facebook, Instagram, Twitter, YouTube, and others as needed.
The creation and placement of these posts is included in our monthly retainer. If the client does not yet have these accounts, then we create them, and this is also included.

However, most clients do not have enough followers on their social media accounts, so we provide the service to build the company’s followers.

Purchase and Placement of Paid Advertising
Although we create the content to market with, one thing that is not included in our retainer is the actual advertising buy, so we work with a veteran media buyer who places the media buys for the content that we create. We have seen the best responses from Facebook and Instagram ad buys, but our specialist can buy media anywhere. We are also developing a methodology for streaming ads on investment websites. We generally TEST in small amounts and then put more money into what works. We recommend an initial budget just to test different campaigns before spending big budgets and this would be in addition to our monthly retainer and is paid directly to the media buyer.

Press Releases
Press releases need to be created, and written and placed with a press distribution company for wide release. Writing the releases is included in our retainer, but the cost for placement with a press distribution company is additional.

Introduction to a Syndicate of Brokers
Another service that the MediaShares retainer includes is the introduction to a syndicate of FINRA brokers. We source and set up presentation calls with brokers to expose the client’s offering to brokers that may have an interest in their offering. This can prove to be a good method to acquire investors because the brokers already have a stable of investors, they know their investors, and they know each investor’s “sweet spot”, so the client doesn’t waste time and money promoting to investors who are not interested. The bad news is that most brokerages charge an advance “due diligence fee” that can sometimes not be fruitful. MediaShares helps source brokerages that are genuinely interested in the client’s offering.

Summary
We are not a brokerage, so by law we cannot accept any success fees based on a capital raise. We charge a monthly retainer, much like an attorney or an accountant, and we also like to receive stock as an extra incentive, but that is entirely up to the client, and according to SEC rules, we cannot operate on a success-fee basis of any kind.
All of the services listed previously, are included in our $12,000 monthly retainer. Most advertising agencies charge an additional “management fee” just to oversee their content ad creation and media buys, so we have not seen better value in the marketing of securities than all these items we provide included in our monthly retainer. Even if you already have an agency, you might compare what you receive from them with what you receive from MediaShares. However, sometimes we have been retained to oversee the work of other agencies and we can work quite collaboratively with them, always deferring to the wishes of the client.
